Intellectual Property and Content Ownership

Your Content - Full Ownership

You own 100% of your creative work. plotwell does not claim any ownership rights to your scripts, characters, treatments, or any other content you create.

Ownership: All intellectual property rights remain with you
Limited License: You grant us only the minimal license needed to process, store, and display your content to provide our services
No Claims: We make no claim to ownership, rights, or royalties from your work
Your Responsibility: You are responsible for ensuring your content doesn't infringe on others' rights
Export Anytime: You can export all your content at any time in multiple formats (PDF, JSON)

Data Storage and Backup Responsibility

Important: While we implement industry-standard backup and security measures, you are ultimately responsible for maintaining your own backups.

Service Provider Role: We provide storage services but are not responsible for data loss except in cases of gross negligence or willful misconduct on our part
No Backup Guarantee: Technical failures, security breaches, or other events may result in data loss
Your Responsibility: Regularly export and back up your important work to your own storage
Version Control: Use our version history features, but maintain external backups for critical projects
Account Termination: If your account is terminated, you have 30 days to export content before permanent deletion

AI-Generated Content

Important: AI-generated content is produced by third-party machine learning models and is inherently imperfect. You must always review, verify, and edit AI outputs before using them in any capacity.

No Accuracy Guarantee: AI-generated content (including scripts, dialogue, character descriptions, scene suggestions, story outlines, and brainstorming responses) may contain factual errors, inconsistencies, culturally insensitive material, or content that does not meet professional standards
User Responsibility: You are solely responsible for reviewing, editing, and approving all AI-generated content before incorporating it into your work. plotwell does not verify the accuracy, originality, or quality of AI outputs
Not a Substitute for Professional Judgment: AI features are creative tools meant to assist and inspire — they are not a replacement for professional screenwriting, legal review, or editorial judgment
Potential for Bias: AI models may reflect biases present in their training data. You should critically evaluate all AI suggestions for unintended bias, stereotypes, or inappropriate content
Copyright Considerations: AI-generated content may not be copyrightable under current intellectual property law in many jurisdictions. You should treat AI outputs as a starting point and add substantial original creative contribution
No Plagiarism Guarantee: AI models may inadvertently produce content similar to existing copyrighted works. You are responsible for ensuring your final work does not infringe on third-party intellectual property rights
Content Variability: AI outputs may vary in quality and relevance. The same prompt may produce different results at different times, and results are not guaranteed to be consistent or reproducible
Third-Party Models: AI features are powered by third-party providers (including but not limited to Replicate, OpenAI, OpenRouter, and xAI), each with their own terms of service that also apply to AI-generated content

Acceptable Use

You agree not to:

Use the service for illegal or harmful activities
Create content that violates intellectual property rights
Attempt to gain unauthorized access to our systems
Interfere with other users' use of the service
Upload malicious code or attempt to hack our platform
Use the service to generate spam or misleading content

Subscription and Billing

Pricing Plans

plotwell offers the following subscription:

Pro Plan: $5/month or $50/year
Free Trial: New users get a 7-day free trial with full access to all Pro features. No charge during the trial period. Your subscription begins automatically at the end of the trial unless cancelled
Base Limits: 2 projects and 2 collaborators included
Addons: $3/month per additional project or collaborator
AI Credits: Available for purchase (200 credits for $5)

Payment Processing

All payments are processed securely through Stripe
Subscriptions auto-renew at the end of each billing period
You can manage billing and payment methods through the Stripe customer portal
Failed payments may result in service suspension after grace period
We reserve the right to change pricing with 30 days advance notice

Addon Purchases

Immediate Billing: Addons are charged immediately upon purchase
No Proration: Adding or removing addons does NOT result in prorated credits or refunds
Monthly Billing: Addons are billed at $3/month regardless of when purchased during the billing cycle
Annual Plans: Addons on annual subscriptions are billed monthly ($3/month) not annually

AI Credits System

One-Time Purchases: AI Credits are one-time purchases that never expire
Image Generation: 10 credits per AI-generated image
Creative Tasks: 1 credit per creative task (brainstorming, script generation, etc.)
Creative Tasks: Each creative task (brainstorming, script generation, etc.) costs 1 credit
Pack Pricing: Credits can be purchased in packs of 200 for $5
Pro Plan Required: AI Credits require an active Pro subscription to purchase and use
Refund Policy: AI Credits are eligible for refund within the 14-day withdrawal period if unused. Once credits have been consumed (partially or fully), the right of withdrawal is lost for the consumed portion per EU Directive 2011/83/EU Art. 16(m)
Non-Transferable: Credits are non-transferable between accounts

AI Features and Third-Party Services

Third-Party Providers: AI features are powered by third-party providers including Replicate, OpenAI, OpenRouter, and xAI. plotwell does not develop, train, or control these AI models
Service Availability: AI service availability depends on third-party provider uptime and may be temporarily unavailable without notice
Content Quality: AI-generated content quality may vary significantly and is provided "as-is" without guarantees of accuracy, completeness, or fitness for any particular purpose
Model Limitations: AI models have inherent limitations including potential for hallucination (generating plausible but incorrect information), bias, and inconsistency. These are characteristics of current AI technology, not defects in our service
No Liability for AI Outputs: plotwell is not liable for any damages, losses, or consequences arising from the use of AI-generated content, including but not limited to inaccurate information, offensive content, or intellectual property issues
Provider Changes: We reserve the right to change AI models and providers without notice to improve service quality. This may affect the style, quality, or characteristics of AI outputs
Third-Party Terms: Your use of AI features is also subject to the terms of service and acceptable use policies of our AI providers
Content Sent to Third Parties: When you use AI features, relevant portions of your project content (such as script excerpts, character descriptions, or scene context) are sent to third-party AI providers for processing. See our Privacy Policy for details

Cancellation and Refund Policy

Cancellation Terms

Cancel Anytime: You can cancel through your account settings or the Stripe customer portal
Access Until Period End: After cancellation, you retain full access until the end of your current billing period
No Partial Refunds: We do not provide refunds for partial months or unused time
Immediate Cancellation: You may request immediate cancellation, but no refund will be issued for the remaining period
Addon Cancellation: Addon removals are effective at the end of the current billing period with no proration

After Cancellation Period Ends

Account Blocked: Access to the editor and all features is blocked until you resubscribe
Data Retention: All your content remains safe and stored
Resubscribe Anytime: You can resubscribe at any time to restore full access

Project Archival and Unarchival

Automatic Archival

Projects are automatically archived when you exceed your plan limits (e.g., after canceling your subscription):

Archived projects are read-only and cannot be edited
All content remains accessible for viewing and export
No data is deleted when projects are archived

Unarchiving Projects

Important: Unarchiving a project ALWAYS requires purchasing an additional project addon to prevent abuse of the archival system.

Mandatory Addon Fee: Unarchiving any project requires purchasing an additional project addon at $3/month
Immediate Charge: The $3/month addon fee is charged immediately upon unarchiving
No Proration: Full monthly addon fee applies regardless of when in the billing cycle you unarchive
Ongoing Cost: The addon remains active (and billed monthly) until you remove it or cancel your subscription
Anti-Gaming Policy: This prevents users from using archival as a way to rotate through unlimited projects without paying
Exception: If you archive a project by mistake and unarchive within 24 hours, contact support for a potential fee waiver

Fair Use Policy

Our "unlimited" features are subject to fair use guidelines:

Usage should be reasonable and for legitimate creative purposes
Excessive or abusive usage may result in temporary limitations
We monitor usage patterns to ensure service quality for all users
Commercial usage at scale may require custom pricing

Payment Processing and Stripe

Stripe Payment Processing

All payment transactions are processed by Stripe, Inc., a third-party payment processor:

Stripe's Terms: Your use of payment services is subject to Stripe's Terms of Service
Payment Methods: Stripe accepts major credit cards, debit cards, and other payment methods
Payment Security: All payment information is stored and processed securely by Stripe using PCI-DSS compliance
Customer Portal: You can manage your payment methods and billing through the Stripe customer portal

Billing Disputes and Chargebacks

Dispute Period: Contact us within 60 days if you believe you were incorrectly charged
Chargeback Policy: Chargebacks may result in immediate account suspension pending resolution
Resolution Process: We will work with you to resolve billing issues before they escalate to disputes
Evidence Requirements: You must provide reasonable evidence for any billing dispute

Failed Payments

Failed payment attempts will trigger automatic email notifications
Grace period of 7 days provided to update payment method
After grace period, subscription may be suspended or cancelled
Late payment fees may apply in accordance with Stripe's policies
Service restoration requires payment of all outstanding balances

Privacy and Data

Disclaimers and Warranties

"AS IS" SERVICE: plotwell is provided "as is" and "as available" without warranties of any kind, either express or implied.

Data Loss: No warranty against data loss, corruption, or unavailability
Service Availability: No guarantee of uninterrupted, timely, secure, or error-free service
AI Content Quality: No guarantees about AI-generated content quality, accuracy, originality, or suitability for any purpose. AI outputs may contain errors, biases, or content that requires significant revision
Third-Party Services: No responsibility for interruptions or failures of third-party services (Stripe, OpenAI, etc.)
Backup Reliability: No guarantee that our backup systems will prevent all data loss scenarios
Business Results: No warranty that the service will meet your requirements or expectations

Your Responsibility: You acknowledge that you are solely responsible for maintaining backups of your content and that you use the service at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Maximum Liability: Our total liability is limited to the amount you paid for the service in the past 12 months
No Consequential Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages
Data Loss: We are not liable for any loss, corruption, or unavailability of your content or data
Lost Profits: Not liable for lost profits, revenue, business opportunities, or goodwill
Third-Party Services: Not liable for failures or issues with Stripe, OpenAI, or other third-party services
Billing Issues: Not liable for incorrect charges that are not disputed within 60 days
Service Interruptions: Not liable for any damages resulting from service downtime or unavailability

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Termination

Either party may terminate these terms:

You can delete your account at any time
We may terminate accounts for violations of these terms
Upon termination, you have 30 days to export your content
Some provisions survive termination (IP ownership, limitations of liability)

Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.

Right of Withdrawal

In accordance with EU Directive 2011/83/EU and Spanish Royal Decree 1/2007:

14-Day Withdrawal Period: As a consumer within the European Union, you have the right to withdraw from your subscription within 14 calendar days of purchase without giving any reason
How to Exercise: To exercise your right of withdrawal, send a clear statement to legal@plotwell.ai indicating your decision to withdraw
Refund: If you exercise your withdrawal right, we will reimburse all payments received from you within 14 days using the same payment method
Exception for digital content: By starting to use premium features (such as AI generation, storyboard creation, or other paid services), you expressly consent to immediate performance of the service and acknowledge that you lose your right of withdrawal once the service has been fully performed, in accordance with Article 16(m) of Directive 2011/83/EU

Invoicing

plotwell issues invoices in compliance with Spanish tax regulations (Ley 58/2003 General Tributaria and Real Decreto 1619/2012). Invoices are generated through Stripe and are available in your billing portal. All prices displayed are exclusive of VAT unless otherwise indicated. Applicable VAT will be calculated and added at checkout based on your location.

Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of Spain. Any disputes arising from these terms shall be submitted to the courts of Madrid, Spain, without prejudice to mandatory consumer protection rules that may apply in your country of residence.

Language: These terms are provided in English. If a Spanish translation is made available in the future and a conflict arises between versions, the Spanish version shall prevail where required by Spanish law.

EU Online Dispute Resolution: If you are a consumer in the European Union, you may submit complaints through the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr
